Mr. Brucato’s background is largely entrepreneurial. In early 2009, he founded RB Milestone Group LLC (“RBMG”) and currently sits on RBMG’s Advisory Board. Amidst the financial crisis, Mr. Brucato geared RBMG's practice heavily towards foreign mining issuers, successfully targeting foreign exchange arbitrage opportunities within undervalued public companies. By the end of 2010, 80% of RBMG's client universe reflected share price increases that ranged between approximately 12% and 400%. Since this occurred during times of such economic uncertainty quickly branded RBMG on a global landscape. Mr. Brucato leveraged RBMG's reputation by successfully ramping up multi-segmented focuses including: energy, healthcare, professional services, consumer goods and technology. Mr. Brucato is responsible for starting numerous successful private ventures; he has advised hundreds of public and private companies globally and has a deep-rooted proficiency in corporate finance and M&A. In 2012, Mr. Brucato founded EMBR Capital LLC (formerly RB Milestone Equities LLC), a single-member venture capital fund, to manage and grow his investment portfolio within the public sector. Mr. Brucato has been noted in many leading publications, including Fox Business, Gold & Minerals Gazette, Bloomberg, HazMat Magazine, ResourceInvestingNews.com, The Financial Review, and BusinessWeek.
Mr. Brucato has played various roles for RBMG ranging from internal corporate strategy formation to the tactical procurement of new business. Currently, Mr. Brucato is responsible for overlooking operations within RBMG’s core consulting practice among client segments including: energy, cleantech, mining, oil & gas, healthcare, professional services, consumer goods and technology. He has advised hundreds of public and private companies globally, and has a deep-rooted proficiency in capital markets. Prior to RBMG, Mr. Brucato worked in private equity and assisted with various investment projects at Morgan Stanley.
Mr. Frome has been the Senior Partner of the law firm Olshan Frome Wolosky LLP (formerly Olshan Grundman Frome Rosenzweig & Wolosky LLP) for over 25 years, where he specializes in corporate and securities law. Mr. Frome is experienced in a wide variety of capital raising transactions representing issuers, investors and investment banks. He regularly leverages his long-standing relationships in the investment community to introduce clients to new sources of business. Mr. Frome has co-authored a book on the topic, Raising Capital: Private Placement Forms & Techniques. He is equally well versed in representing corporate parties in mergers and acquisitions, and has extensive experience in negotiating PIPEs, SPACs, and reverse mergers. Mr. Frome is a Board Member of HealthCare Services Group, Inc., the nation's largest provider of housekeeping, linen and laundry services to long-term care facilities. He is also a Board Member of Big Brothers Big Sisters of New York City, Inc. Mr. Frome has a B.S. degree from New York University, an L.L.B. Degree from Harvard University and an L.L.M. degree from New York University.
Ms. Samios is the founder and CEO of Istros Media, a company that develops advanced multimedia solutions for the entertainment, media and financial industries. Under her leadership, the New York based firm has developed relationships with a wide range of industry leaders, including AMC, Paramount, Wachovia, Sony, and Verizon.
With over 20 years of senior management experience in design and development, Ms. Samios has built and managed a number of multi-functional teams, and Istros Media currently employs over 20 web designers, programmers and producers. Since inception in 1995, the company has earned a reputation for creative innovation, winning over 45 awards for web design and the production of television commercials, including the prestigious WEBBY Award, and the London International Design Award.
Mr. Schlesinger is a Partner of the law firm Olshan Frome Wolosky LLP, where he specializes in corporate and securities law. Leveraging his extensive experience in securities law, Mr. Schlesinger assists clients in fulfilling their SEC reporting requirements (including those falling under Section 16 of the Securities Exchange Act of 1934 and Rule 144 of the Securities Act of 1933) and other public company obligations. He also represents public and private companies in mergers and acquisitions, and in asset purchase and stock purchase transactions. He has substantial general corporate experience as well, including the negotiation and drafting of employment, stockholder, partnership, and operating agreements. Additionally, Mr. Schlesinger has represented underwriters and placement agents in connection with public and private offerings, and public companies in connection with initial public offerings, secondary public offerings, regulatory compliance, corporate governance and securities law issues. He received a B.A., with honors, from University of Chicago and a J.D. from UCLA School of Law.
